Terms & Conditions

1. Provider

These Terms and Conditions (hereinafter "Terms") govern the business relationship between MDCS Group s.r.o., registered office at Potěhy 33, 285 63 Potěhy, Company ID: 21187592, registered in the Commercial Register maintained by the Municipal Court in Prague, Section C, Insert 397898 (hereinafter "Provider") and the client (hereinafter "Client").

2. Scope of Services

The Provider offers IT services, in particular: managed IT services (MSP), IT infrastructure administration, Microsoft 365 implementation and administration, cybersecurity consulting, cloud migration, user support (helpdesk), and IT audit and license management.

The specific scope, conditions, and pricing of services are always defined in an individual contract, order, or service level agreement (SLA) between the Provider and the Client.

3. Contract Formation

The contractual relationship is established upon signing a service agreement, accepting a written offer, or confirming an order by the Client. Submission of an inquiry via the contact form does not constitute a binding contract.

4. Pricing and Payment Terms

Prices for services are determined based on individual agreements. Unless otherwise agreed, invoicing is monthly with a 14-day payment term. All prices are exclusive of VAT unless stated otherwise.

In case of late payment, the Provider reserves the right to charge statutory interest on late payments and to suspend the provision of services until the outstanding amount is settled.

5. Provider's Obligations

The Provider commits to:

  • Provide services with professional care and in accordance with the agreed scope
  • Maintain confidentiality of all information obtained during the provision of services
  • Inform the Client of any significant circumstances that may affect the provision of services
  • Adhere to response times agreed in the SLA

6. Client's Obligations

The Client commits to:

  • Provide necessary access, information, and cooperation for the provision of services
  • Pay for services within agreed deadlines
  • Immediately inform the Provider of any changes that may affect the provision of services
  • Not disclose login credentials and technical documentation provided by the Provider to third parties

7. Liability

The Provider is liable for damages caused by a breach of its obligations up to the amount of the monthly service fee. The Provider is not liable for damages caused by the Client's failure to cooperate, force majeure, or third-party actions.

8. Confidentiality

Both parties commit to maintaining confidentiality of all confidential information obtained during cooperation. This obligation remains in effect even after the termination of the contractual relationship.

9. Contract Duration and Termination

The contract can be concluded for a definite or indefinite period. Unless otherwise agreed, the notice period is 3 months. Either party may terminate the contract immediately in case of a material breach by the other party.

10. Personal Data Protection

Personal data processing is governed by the Privacy Policy. The Provider processes personal data in accordance with Regulation (EU) 2016/679 (GDPR).

11. Final Provisions

These Terms are governed by the laws of the Czech Republic. Any disputes arising from the contractual relationship will be resolved by the competent court in the Czech Republic. The Provider reserves the right to change these Terms. Changes become effective upon publication on the website.

These Terms and Conditions are effective from May 1, 2025.
